Terms of Use

1. Acceptance of These Terms

By accessing or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you are under the age of legal majority where you live, you may use child-facing content only with the involvement and permission of a parent or legal guardian. The current site is informational and has no forms, accounts, email signup, or store. If features labeled for Grown-Ups are added later, they are for adults only. Children should ask a parent or guardian for help and should not submit personal information.

2. The Service

The Service provides entertainment, information, character and story materials, and links to the official Monkeys on Patrol channel on YouTube. It does not embed third-party video players. Content may be changed, suspended, or discontinued at any time, and additional offerings such as merchandise may be added later. Descriptions of proposed stories, characters, episodes, products, release dates, or future projects are plans or creative materials, not binding promises that any particular project or product will be completed or released.

3. Intellectual Property

The Service and its content—including the Monkeys on Patrol name and logo, characters (including Frank), artwork, illustrations, designs, stories, scripts, text, music, audio, video, animation, graphics, photographs, site design, and other materials—are owned by or licensed to Ognila, LLC and are protected by copyright, trademark, and other laws. All rights not expressly granted are reserved.

Subject to these Terms, Ognila grants you a limited, revocable, nonexclusive, nontransferable license to access the Service and view its content for personal, noncommercial use. This license does not transfer ownership or permit commercial exploitation.

4. Prohibited Uses

You may not, and may not help anyone else to:

• Copy, reproduce, distribute, publicly display, publicly perform, publish, sell, license, adapt, translate, modify, create derivative works from, or commercially exploit Service content without Ognila’s written permission, except as permitted by law.
• Use Monkeys on Patrol names, characters, logos, artwork, or other brand assets to imply endorsement, affiliation, or sponsorship.
• Scrape, crawl, harvest, index, download in bulk, or use automated means to access the Service or collect its content, except for ordinary public search-engine indexing that respects our technical instructions.
• Use Service content or brand assets to train, fine-tune, evaluate, or supply a machine-learning or artificial-intelligence system without Ognila’s prior written permission, to the extent such restriction is permitted by law.
• Circumvent access controls, probe or test vulnerabilities, interfere with site operation, introduce malicious code, impersonate another person, commit fraud, or violate law or another person’s rights.
• Submit information about a child through a Grown-Ups feature or encourage a child to submit personal information.

5. Adult Communications and Feedback

The Service does not currently provide a contact form. If adult contact features are added later, do not submit confidential business information, sensitive personal information, unlawful material, or personal information about a child. You represent that you have the right to provide anything you send and that it does not infringe another person’s rights.

If an adult voluntarily provides ideas, suggestions, or feedback about the Service, Ognila may use that feedback without restriction or compensation, but this does not transfer ownership of the adult’s preexisting intellectual property. Ognila is not accepting unsolicited scripts, story concepts, character designs, music, artwork, or other creative submissions. Any such unsolicited creative material may be deleted or returned unread where practical.

6. Email Communications (Not Currently Offered)

The Service does not currently offer an email subscription. If one is added later, adults may choose to receive email from us, and by subscribing the adult authorizes Ognila and its email provider to process the provided information to send and manage those messages. Marketing consent may be withdrawn at any time using the unsubscribe link. Transactional or service messages related to an order or request may still be sent when necessary.

7. Store Purchases (Not Currently Offered)

There is no Monkeys on Patrol store or checkout on the Service today. The terms in this section apply only if and when online purchases are offered. Purchases would also be subject to terms and policies displayed in the store or at checkout, including applicable shipping, return, refund, subscription, or product-specific terms. If there is a conflict regarding a purchase, the more specific store policy presented for that transaction will control to the extent permitted by law.

Eligibility. Purchases are for adults who can enter a binding contract. A parent or guardian is responsible for purchases made using their account, device, or payment method.

Product information. We try to describe products accurately, but colors, dimensions, packaging, and availability may vary. Images may be illustrative. Nothing limits rights that cannot lawfully be waived.

Prices and taxes. Prices may change before an order is accepted. Prices may exclude shipping, duties, and taxes unless stated otherwise. You are responsible for charges disclosed at checkout.

Order acceptance. An order confirmation acknowledges receipt, not necessarily acceptance. We may reject or cancel an order for suspected fraud, pricing or inventory errors, legal restrictions, or other legitimate reasons. If we cancel after payment, we will issue the appropriate refund.

Payment. The store platform and its payment providers would process payment credentials. You represent that you are authorized to use the selected payment method.

Shipping and risk. Delivery estimates are not guarantees. Title and risk of loss pass as provided by applicable law and the shipping terms presented at checkout.

Returns and refunds. Returns, exchanges, and refunds are governed by the policy displayed in the store at the time of purchase, subject to nonwaivable consumer rights.

8. Third-Party Services and Links

The Service is hosted by Lovable and links to the official Monkeys on Patrol channel on YouTube. It does not use third-party analytics or tracking technologies. Those linked services have separate terms and privacy policies. Ognila is not responsible for third-party content, products, availability, security, or independent acts or omissions. Your dealings with a third party are between you and that party, except to the extent Ognila expressly agrees otherwise or applicable law provides otherwise.

9. Copyright Concerns

If you believe material on the Service infringes your copyright, contact monkeysonpatrolhq@gmail.com with: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act; and your physical or electronic signature. We may request additional information necessary to evaluate the notice.

10. Suspension and Termination

We may restrict or terminate access to the Service if we reasonably believe a person has violated these Terms, harmed the Service or another person, created legal or security risk, or used the Service unlawfully. Provisions that by their nature should survive termination—including intellectual-property, disclaimer, liability, indemnity, governing-law, and general provisions—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OGNILA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OGNILA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE COMPLETE, ACCURATE, OR CURRENT.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OGNILA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OGNILA AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO OGNILA THROUGH THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply to liability that cannot lawfully be limited, including where applicable liability for intentional misconduct, gross negligence, or personal injury caused by a party’s negligence. The limitations are an essential basis of the agreement.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ognila and its members, managers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs, including attorneys’ fees, arising from your unlawful use of the Service, your material violation of these Terms, or your infringement of another person’s rights. This provision does not require indemnification for Ognila’s own unlawful conduct and does not limit nonwaivable consumer rights.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent the law where you reside gives you nonwaivable rights. Any dispute not resolved informally must be brought in the state or federal courts having jurisdiction over Butler County, Ohio, and each party consents to their personal jurisdiction and venue. Nothing in this section prevents a consumer from bringing a claim in another forum when applicable law gives the consumer a nonwaivable right to do so.

15. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be posted with a new effective date. Changes apply prospectively when posted or on a later date stated in the revised Terms. If a change materially affects an existing paid service, we will provide additional notice where required by law. Continuing to use the Service after revised Terms become effective constitutes acceptance to the extent permitted by law.

16. General Provisions

These Terms and the policies incorporated by reference are the entire agreement between you and Ognila concerning the Service, except for additional terms agreed in writing or presented for a specific transaction. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. A waiver must be in writing and is not a continuing waiver. You may not assign these Terms without Ognila’s consent; Ognila may assign them in connection with a merger, reorganization, financing, or sale of business or assets. Headings are for convenience only. The word “including” means “including without limitation.”
